3. Client Obligations

• Provide accurate and complete project information, access, and approvals.
• Designate a responsible point of contact to coordinate with us.
• Maintain required licenses, permissions, and compliance obligations for systems we work on.
• Ensure security of credentials and sensitive information shared with us.

4. Intellectual Property

All methodologies, designs, templates, and intellectual property developed by Hercules IT remain our property unless explicitly transferred in writing. Clients receive a limited license to use deliverables for internal business use only.

5. Fees, Billing & Payment

• All fees are outlined in contracts or SOWs.
• Invoices are payable within the agreed timeframe (default: 30 days).
• Late payments may incur interest or suspension of services.
• All fees are exclusive of applicable taxes (e.g., VAT).

6. Confidentiality & Data Protection

Both parties agree to protect confidential information shared during engagements. We comply with applicable data protection laws, including the UAE Personal Data Protection Law (PDPL) and GDPR (if applicable).

7. Warranties & Disclaimers

We warrant that our services will be provided with reasonable care and skill. However, we do not guarantee error-free performance, uninterrupted availability, or specific outcomes unless explicitly agreed in writing.

8. Limitation of Liability

To the fullest extent permitted by law, Hercules IT shall not be liable for indirect, incidental, or consequential damages (including lost profits, business interruption, or data loss). Our liability is capped at the amount paid by the client for the services giving rise to the claim.

9. Use of Third-Party Tools & Software

Some services may involve use of third-party software or platforms (e.g., Microsoft Azure, AWS, Google Cloud). We are not responsible for availability, security, or defects in third-party products.

10. Termination

Either party may terminate a contract with written notice. We may suspend or terminate services immediately in cases of non-payment, breach of contract, or unlawful use of our services.

11. Disclaimer

The content on our website, reports, or communications is for informational purposes only. While we strive for accuracy, Hercules IT makes no warranties about the completeness or reliability of information. Use of our advice, tools, or recommendations is at the client’s own risk.

12. Indemnification

Clients agree to indemnify and hold Hercules IT harmless from claims, damages, or expenses arising from misuse of our services, breach of these Terms, or violation of applicable laws.

13. Force Majeure

We are not liable for delays or failures caused by events outside our control, including natural disasters, cyberattacks, government restrictions, or labor disputes.

14. Governing Law & Jurisdiction

These Terms shall be governed by the laws of the United Arab Emirates. Any disputes will be resolved in the competent courts of Dubai, UAE.

15. Updates to Terms

We may update these Terms periodically. The latest version will always be available on our website and supersedes previous versions.
